Applicable laws

It is the responsibility of the website (“Site”) users to ensure they comply with all applicable laws.

Use indemnity

The User indemnifies the Issuer immediately on demand for all any loss, claims, damages, expenses, fees incurred in connection with the user’s use of this Site, its submission of personal information and or the sale and purchase of any digitalReserve Bondcoins.

The User shall not reproduce any aspect of the Site and shall use the Site solely for personal and non-commercial use.

Absent digitalReserve’s prior written consent, the User must not establish any connection to this Site so as to suggest any form of association, approval or endorsement with our Site.

Change of terms and conditions

The Terms and Conditions can change from time to time by such changes being made to, and displayed on, the Site. The user is solely responsible for keeping themselves informed of any such changes, by visiting the Site. Any changes posted are effective immediately.

No warranty

The Site is offered without any warranty as to its services or their suitability or appropriateness for a given user and Digital Reserve makes no representation or warranty of any kind to that effect, including that the Site will always be free or technical defect, delays, viruses, errors, omissions or incorrect information, from time to time.

Digital Reserve intellectual property rights

digitalReserve owns all intellectual property rights in, and materials published on, the Site, including, without limitation, copyright, trade marks, the underlying software, the design, graphics, layout, look and feel and structure of the Site, database rights, design rights, domain names and rights to goodwill and/or to sue for passing off. Those works are protected by copyright laws and treaties. As such rights are reserved. The trade marks on this Site ("Trademarks") belong to digitalReserve and should not be copied, reproduced, modified, republished, uploaded, posted, transmitted, scraped, collected or distributed in any form or by any means, whether manual or automated. Use of the trade marks without our express consent in writing is prohibited.

What you may do on this website

Identity verification – client information sheet

To commence the process, you must complete all KYC and AML screening pre-requisites. Please download our “Client Information Statement” (CIS) by clicking here and complete as fully as possible. Please return it by email with requested attachments to idcheck@digitalreserve.org.  In so doing, you consent to an automated “know your customer” “KYC” check being carried out to permit local anti-money laundering, counter terrorist financing and proceeds of crime legislation and regulations to be complied with.

Invitation to treat

In maintaining this Site, neither digitalReserve nor UHTf at any point offers to purchase or sell digitalReserve but rather makes an invitation to treat.

User representations and warranties

You represent and warrant on the date you submit identification and AML information, that:

- the user has full legal capacity to accept these Terms and Conditions and that such action is not ultra vires of any applicable memorandum or articles of association, trust deed, partnership agreement, power of attorney or any other document or agreement under which you are empowered to act, where applicable;

- the agreement formed by acceptance of these Terms and Conditions constitutes a valid, binding and enforceable contract between the user and digitalReserve;

- no third party, governmental (including, without limitation, tax law and regulations, exchange control requirements) or other regulatory consents, licences or notifications of any kind are required for the user to execute transactions, which have not been satisfied, where applicable;

- the user must read and understand and all applicable Terms and Conditions and Privacy Policy and s/he accepts their respective terms;

- the information provided in the Identity Verification and AML forms is accurate and not misleading in any material respect;

- the user has not relied on any express or implied representation, warranty or other assurance made by digitalReserve or its employees or any third party before accepting these Terms and Conditions;

- the user is not a U.S. person or holds any other citizenship or residency status which requires digitalReserve to be registered or authorised in such jurisdiction before it is permissible for the user to transact with digitalReserve;

- the user shall not personally or shall not cause, incite or induce third parties to defame or injure digitalReserve’s reputation publicly;

- the user is transacting on its own behalf and not on behalf of any other third party;

- the user is at least 18 years of age; and

- the transactions and/or orders contemplated by this agreement comply with all applicable laws.

Limitation of liability

digitalReserve shall have no liability to you in connection with any digitalReserve transactions, including, without limitation, for transmissions that are inaccurate or not received by the Issuer, for any delay or defect in or failure of the whole or any part of the Site, any software or any systems or network links or any other means of communication.  digitalReserve has no liability to the user, whether in contract or in tort (including negligence) in the event that any computer viruses, worms, software bombs or similar items are introduced into the user’s computer hardware or software via our wallet download or usage of the Site.

The Issuer shall not be liable for any direct, indirect, special, incidental, punitive or consequential damages (including, without limitation, loss of business, loss of profits, failure to avoid a loss, loss of data, loss or corruption of data, loss of goodwill or reputation) caused by any act or omission of ours under these Terms and Conditions.  

Nothing in these terms of use excludes or limits the liability of either party for death or personal injury arising from negligence, or fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by the law of Egypt and/or the Universe

Transaction cancellation and termination rights

digitalReserve may cancel any application or transaction or reject any offer to transact at his sole discretion, for reasons, including, without limitation, any adverse KYC/ AML findings.The Issuer may, at its discretion, terminate this agreement with the user, if it see or foresees the risk of any breach of any applicable law or these terms and conditions, we are unable to contact the user, the user has supplied inaccurate details in its account opening form, the user behaves inappropriately with the Issuer or their personnel, has infringed any property rights or otherwise acts inconsistently with the spirit of the Terms and Conditions or for other operational, legal or regulatory reasons.

The user acknowledges it shall have no further rights in connection with any cancellation or termination, as applicable.

Governing law and jurisdiction

These Terms and Conditions shall be governed and construed in accordance with the laws of Egypt and/or the Universe.

You agree to irrevocably submit to the exclusive jurisdiction of the law of Egypt and/or the Universe
